Terms of service
Version 2.0 — Effective date: November 1, 2026
These Terms of Service (the “Terms”) are a contract between Cal.com, Inc., a Delaware corporation (“Cal.com,” “we,” “us”), and the person or entity that creates an account or otherwise uses the Services (“Customer,” “you”). You accept these Terms by clicking an acceptance control, creating an account through a process that clearly identifies these Terms and states that proceeding constitutes acceptance, or entering into an Order Form that expressly incorporates these Terms. If you accept on behalf of an organization, you confirm that you have authority to bind it, and “you” means that organization. If you do not agree to these Terms, do not use the Services.
1. Definitions
“Agreement” means these Terms together with any applicable Order Form, DPA, BAA and other documents validly incorporated into the agreement between the parties, subject to §§2.1 and 2.5.
“Authorized User” means an individual you permit to use the Services under your account, including members of your team or organization.
“BAA” means the Cal.com Business Associate Agreement, available on request from Cal.com, where executed between you and Cal.com.
“Booker” means an individual who books, is invited to, or attends a meeting through a scheduling page, embed, or link you make available through the Services.
“Customer Data” means data, content, and information that you, your Authorized Users, or Bookers submit to the Services through your account, including booking details, calendar data, availability, form responses, and recordings or transcripts you create.
“Documentation” means Cal.com’s published product documentation at cal.com/docs and cal.com/help, as updated.
“DPA” means the Cal.com Data Processing Agreement at cal.com/dpa, or an Executed DPA as defined there.
“Order Form” means an order, quote or statement of work signed or accepted by both parties that expressly incorporates these Terms. A separate master services agreement is governed by its own terms as described in §2.5.
“Services” means Cal.com’s hosted scheduling, booking, video, communication, AI, integration, API, embed, and related services, including any software, mobile applications, and Documentation Cal.com provides with them. These Terms do not govern software Cal.com releases separately: Cal.diy and Cal.com’s other separately released open-source software are governed by the license that accompanies them (for Cal.diy, the MIT License at github.com/calcom/cal.diy/blob/main/LICENSE), and commercial self-hosted Cal.com software is governed by your Order Form or a separate license agreement. Where you also use hosted Services, these Terms govern that use.
“Third-Party Service” means a product or service you select, connect, or configure that Cal.com does not operate as part of the Services, such as your own calendar, video-conferencing, CRM, payment, webhook, SMTP, or automation provider.
2. Structure of the Agreement
2.1 Order of precedence. If documents conflict, the following order applies: (a) the BAA, for the use, disclosure, privacy, and security of Protected Health Information; (b) a signed Order Form, for the matters it addresses, except that an Order Form changes a provision of the DPA only where it expressly identifies that provision; © the DPA, for the processing of personal data; (d) these Terms; (e) the Documentation.
2.2 Data processing. To the extent Cal.com processes personal data on your behalf in providing the Services, the DPA is incorporated into these Terms when these Terms become binding between the parties. This applies across accounts and plans; a separate paper signature is not required where valid electronic acceptance is used. An applicable Executed DPA supersedes the online DPA for the processing it covers while it remains in effect, as provided in DPA §14.2. A countersigned record copy provided under DPA §16.4 does not become a separately executed DPA merely because it is countersigned. Execution of applicable transfer instruments is governed by the SCC Schedule.
2.3 Privacy Policy. Cal.com’s Privacy Policy at cal.com/privacy describes how Cal.com processes personal data for its own purposes, including account, billing, security, and marketing data, and how it processes Bookers’ data on your behalf. The Privacy Policy is not part of the Agreement, but you should read it.
2.4 Communications. Cal.com may send you service communications about your account, security, billing, and changes to the Services or the Agreement, including a periodic changelog describing features, changes, and deprecations in the Services. Whether a communication is marketing depends on its content and applicable law. Accepting these Terms is not consent to receive marketing communications. Cal.com may send marketing communications in accordance with applicable law, including obtaining and recording separate consent where required and honoring applicable unsubscribe requests. You may stop receiving the changelog through the unsubscribe link in each message; account, security, billing, and legal-change notices cannot be opted out of while your account is open.
2.5 Sales-assisted agreements. Customers who purchase any plan through Cal.com’s sales process, rather than self-serve, enter into an Order Form or master services agreement with Cal.com. A separate master services agreement governs according to its own terms. These Terms apply to Services covered by that agreement only to the extent that agreement expressly incorporates them. Incorporation of the DPA alone does not incorporate these Terms. An Order Form incorporating these Terms has the priority stated in §2.1.
3. Accounts and eligibility
3.1 You must be at least 18 years old, or the age of majority where you live if higher, to create an account or use the Services. Individuals under 18 may not use the Services, including scheduling pages.
3.2 You must provide accurate, complete registration and billing information and keep it current. You are responsible for all activity under your account and for keeping your credentials confidential. Notify Cal.com immediately at support@cal.com if you become aware of any breach of security or unauthorized use of your account.
3.3 You are responsible for your Authorized Users’ compliance with the Agreement. Where you are an organization, your authorized administrators may manage membership and organization or team resources using the administrative functionality available under your plan. This does not give the organization control over an individual’s separate personal account or data outside those resources.
3.4 Usernames must not impersonate another person or entity, infringe another’s rights, or be offensive. Cal.com may reclaim usernames that are inactive, infringing, or reserved.
4. Use of the Services
4.1 License. Subject to the Agreement, Cal.com grants you a non-exclusive, non-transferable right during the Term to access and use the Services for your internal business or personal purposes and any additional uses expressly permitted by your purchased plan or Order Form, in accordance with the Documentation and your plan’s limits.
4.2 Plan limits. Features, usage limits and seat counts are those disclosed and agreed for your purchased plan or stated in your Order Form, subject to changes validly made under the Agreement. Cal.com may enforce limits technically and may require you to upgrade if you exceed them.
4.3 Acceptable use. You will not, and will not permit anyone to: (a) use the Services in violation of applicable law, including anti-spam, telemarketing, consumer-protection, and sanctions laws; (b) send unsolicited commercial communications, or use booking pages, workflows, SMS, or email features to send other messages without any notice or consent required by applicable law; © upload or transmit malware, or attempt to probe, scan, overload, or gain unauthorized access to the Services or their infrastructure, except as permitted by Cal.com’s responsible-disclosure policy; (d) scrape, crawl, or use automated means to access the Services other than through the documented API within its rate limits; (e) resell, sublicense, white-label, or offer the Services to third parties except as your plan expressly permits (for example, platform and embed plans); (f) reverse engineer or attempt to derive source code from the hosted Services, except to the extent applicable law or the license accompanying separately released software permits; (g) remove or obscure proprietary notices, or use Cal.com’s trademarks except as permitted by its brand guidelines; (h) impersonate any person or entity, or misrepresent your affiliation; (i) use the Services to harm, exploit, or expose minors to inappropriate content, or to harass, threaten, or defame any person; (j) submit Protected Health Information or other data prohibited by §5.4; or (k) use the Services to develop a competing product, or to benchmark them for publication without Cal.com’s consent. These restrictions apply subject to rights that cannot lawfully be restricted and any rights expressly granted under an applicable separate software licence.
4.4 API, embeds, and platform. Use of the API, embeds, and OAuth clients is subject to the Documentation, the applicable rate limits, and any additional platform terms validly incorporated into the Agreement. Changes to those contractual terms are subject to the applicable notice and acceptance requirements. You are responsible for applications you build and for the users of those applications.
4.5 Beta and AI features. Cal.com may offer features labelled beta, preview, early access, or similar (“Beta Features”), and features that use artificial intelligence, including Cal.ai (“AI Features”). Beta Features are provided as-is, may be changed or withdrawn at any time, and may not be covered by support or service-level commitments. AI Features may produce inaccurate output; you are responsible for reviewing output before relying on it. Cal.com does not use Customer Data to train or fine-tune generally available AI models, and requires the same of its AI Subprocessors.
4.6 Third-Party Services. You may connect Third-Party Services to your account. Cal.com does not control them and is not responsible for their availability, terms, or handling of your data. Your use of a Third-Party Service is governed by your agreement with that provider, and you authorize Cal.com to exchange Customer Data with it as needed to provide the integration you configure. The DPA’s treatment of Third-Party Services is set out in DPA §1.3. This section does not treat a provider engaged by Cal.com to process Customer Personal Data on Cal.com’s behalf as a customer-selected Third-Party Service or reduce Cal.com’s obligations for Subprocessors under the DPA.
4.7 Communications and recordings. Where you use the Services to send SMS, email, or calls, or to record or transcribe meetings, you are responsible for obtaining any consent and providing any notice that applicable law requires, including consent of all participants to recording where required. This allocation does not remove any obligation that applicable law places directly on Cal.com.
5. Customer Data
5.1 Ownership. You retain the rights you hold in Customer Data. Cal.com obtains no rights in Customer Data other than the limited rights in this §5.
5.2 License to Cal.com. You grant Cal.com a non-exclusive, worldwide, royalty-free license to host, copy, transmit, display, and otherwise process Customer Data solely (a) to provide, maintain, secure, and support the Services; (b) as you or your Authorized Users instruct through the Services, including sharing with Bookers and Third-Party Services you configure; © to comply with law; and (d) as otherwise permitted by the DPA. Subject to the DPA and applicable law, Cal.com may review, restrict, remove or quarantine Customer Data as reasonably necessary to investigate or address unlawful use, security threats or violations of the Agreement. This does not create a general obligation to monitor Customer Data.
5.3 Your responsibilities. You are responsible for the accuracy, legality, and appropriateness of Customer Data, for having the rights and notices needed to submit it, and for complying with applicable data-protection law in your collection and use of that data, whether you act as a controller or processor. Where you act as a processor for your own clients, you warrant that you have the authority to appoint Cal.com as set out in DPA §12.4(a).
5.4 Prohibited data. You must not submit Protected Health Information unless you have first executed a BAA with Cal.com covering the relevant Services. You may process other sensitive personal data through the Services subject to DPA §1.4, and you are responsible for having a lawful basis to do so. In addition: (a) payment-card information may be provided only through the interface of an authorized payment provider integrated with the Services, and must not be entered into any other field; (b) government-issued identification numbers or documents must not be submitted to or stored in regular Cal.com fields, including booking questions, notes, and descriptions; and © credentials for third-party systems may be provided only through the Cal.com integration flows designed to receive them, and must not be entered into any other field. Cal.com may remove or quarantine data submitted in breach of this section.
5.5 Aggregated data. To the extent permitted by the DPA and applicable law, Cal.com may generate and use aggregated or de-identified data derived from use of the Services that does not identify Customer and cannot reasonably be linked to an individual or household. Cal.com will maintain and use de-identified information in de-identified form, will not attempt to reidentify it except to test de-identification where legally permitted, and will impose equivalent restrictions on recipients where required by law. This section does not authorize AI-model training contrary to Cal.com’s applicable privacy commitments.
5.6 Export and deletion. During the Term, you may export Customer Data using the export functionality available for the relevant Services. Return and deletion of Customer Personal Data are governed by DPA §10, including your choice of return followed by deletion, or deletion.
5.7 Bookers. A Booker does not become a party to the Agreement merely by making or attending a booking. A Booker who separately accepts an agreement with Cal.com is governed by that agreement for the relevant Services. This does not limit statutory rights or rights under applicable international data-transfer clauses. Cal.com processes Bookers’ personal data on your behalf as processor under the DPA, and for its own limited purposes (such as security and, where the Booker creates an account, providing them the Services) as described in the Privacy Policy. Booking confirmations and reminders are sent on your behalf.
6. Cal.com’s responsibilities
6.1 Services. Cal.com will provide the Services purchased under the applicable plan or Order Form, subject to the Agreement. Support commitments apply only to the extent expressly agreed for that purchase. Documentation and help materials do not create additional warranties or service-level commitments.
6.2 Security. Cal.com’s security measures and personal-data breach notification obligations are governed by the applicable DPA, including its agreed technical and organizational measures.
6.3 Availability and changes. Cal.com may modify the Services to maintain security, comply with law, adapt to technical changes or changes in third-party dependencies, improve functionality, or address other material operational requirements, subject to the Agreement. If a change materially reduces the core functionality of the Services you have paid for during a prepaid period, Cal.com will give you prior notice and, where the Agreement or applicable law requires it, will refund prepaid fees for the affected functionality. Where an urgent change is necessary to address a security threat or comply with law, and advance notice is not required by applicable law, Cal.com may make the change before giving notice and will notify you as soon as reasonably practicable and legally permitted afterward. A service-level commitment applies only where it is included in, or incorporated by reference into, an Order Form, master agreement, or other written agreement accepted by both parties; otherwise none applies. For consumers protected by applicable digital-services law, modifications will be made without additional charge and with the information, advance notice on a durable medium, and termination or other remedies that law requires.
6.4 Subprocessors and subcontractors. Cal.com may use subcontractors, including Subprocessors. Cal.com’s responsibility for processing Customer Personal Data by Subprocessors is governed by the applicable DPA.
7. Fees and payment
7.1 Fees. You will pay the fees disclosed and agreed for your purchase or stated in your Order Form, subject to changes validly made under the Agreement. For business customers, fees are exclusive of applicable sales, use, VAT, GST, withholding and similar taxes, other than taxes on Cal.com’s income, unless otherwise agreed. Where legally permitted, a business customer required to withhold will gross up the payment so Cal.com receives the agreed amount. Consumer prices will include taxes and charges where required by law, and no undisclosed charge is authorized by this section.
7.2 Subscriptions and renewal. Paid plans are billed in advance on a monthly or annual cycle and renew automatically for successive periods of the same length unless either party cancels before the renewal date. You may cancel through your account settings or by contacting support; cancellation takes effect at the end of the current billing period unless the Agreement or mandatory law provides an earlier termination right. Cal.com will send a reminder before annual renewals where applicable law requires. Where mandatory consumer law prohibits renewal for another fixed term, renewal will instead be for an indefinite period, cancellable on no more than one month’s notice or any shorter period required by that law. Cal.com will obtain required consent and provide required renewal notices.
7.3 Seats and usage. Seat-based and usage-based fees are calculated and charged under the pricing and billing method disclosed to you when you purchase the applicable plan, seats or usage, or as stated in your Order Form. Proration applies only where that disclosed method provides for it.
7.4 Payment. Plans billed automatically: you authorize Cal.com and its payment processor to charge your payment method for all fees when due; if a charge fails, Cal.com will notify you and may retry it, and may downgrade or suspend the paid features if the amount remains unpaid after any applicable payment deadline and notice or cure period required by the Agreement or applicable law. Invoice billing is available only under an Order Form or master services agreement, whose payment, interest, dispute, and suspension terms govern invoiced amounts. You must be authorized to use the payment method you provide. Cal.com may reject payments it reasonably suspects are fraudulent or unauthorized.
7.5 Fee changes. Cal.com will give you reasonable prior notice of a change in the fees for your plan, including any notice required by applicable law, so that you can cancel before the change takes effect. Changes take effect at the start of your next billing period after the applicable notice period. For covered California consumer subscriptions, the notice will be given 7 to 30 days before the change where that timing is required by law. Fees and any permitted fee changes under an Order Form are governed by that Order Form.
7.6 Refunds. Except as stated in the Agreement or required by law, fees are non-refundable. Where the Agreement or applicable law requires a refund of prepaid, unused fees, Cal.com will pay it within the period required by applicable law or the Agreement, or otherwise within a reasonable time.
7.7 Free plans and trials. Cal.com may offer free plans and free trials. Cal.com may change or end free plans and trials at any time with reasonable notice, and may charge the applicable subscription fee at the end of a trial if you have expressly authorized the disclosed recurring charges and have not cancelled before the disclosed deadline, subject to applicable law.
8. Intellectual property
8.1 Cal.com. Cal.com and its licensors own the Services, the Cal.com software, and all related intellectual property. Except for the rights expressly granted, nothing in the Agreement transfers any rights in the Services to you. Cal.diy and other software Cal.com releases under an open-source license are licensed under the license that accompanies them, and commercial self-hosted Cal.com software is licensed under your Order Form or a separate license agreement; nothing in those licenses grants rights in the hosted Services.
8.2 Feedback. If you provide suggestions or feedback about the Services, you grant Cal.com and its affiliates a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free right to use, copy, modify, create derivative works from, publish, distribute and commercialize that feedback for any purpose. This permission does not authorize publication of a personal endorsement without separate permission or override applicable privacy rights.
8.3 Trademarks and publicity. You may not use Cal.com’s names, logos, or trademarks without consent, except as its brand guidelines permit. If you are a business customer, Cal.com may identify your business by name and logo as a customer in its marketing unless you opt out by emailing privacy@cal.com or an applicable signed agreement provides otherwise. This permission does not authorize personal testimonials or endorsements without separate permission.
8.4 Copyright complaints. Cal.com responds to notices of alleged copyright infringement under the Digital Millennium Copyright Act. Notices must contain the information required by 17 U.S.C. § 512©(3) and be sent to Cal.com’s designated agent: Bailey Pumfleet, Cal.com, Inc., 2261 Market Street #4382, San Francisco, CA 94114, United States; legal@cal.com; +1 415 212 6667. Cal.com may remove or disable access to allegedly infringing content and maintains a policy of terminating, in appropriate circumstances, accounts of repeat infringers. Notices and counter-notices will be handled under the applicable DMCA procedures.
9. Confidentiality
9.1 “Confidential Information” means non-public information disclosed by one party to the other under the Agreement that is marked confidential or would reasonably be understood to be confidential. Subject to §9.3, Customer Data is your Confidential Information; the non-public features, pricing, and security information of the Services are Cal.com’s.
9.2 The receiving party will use Confidential Information only to perform under the Agreement, protect it with at least reasonable care, and disclose it only to employees, affiliates, and contractors who need it and are bound by written confidentiality obligations at least as protective. These obligations continue for as long as the information remains Confidential Information under §9.3, including for trade secrets while they remain trade secrets. Personal-data obligations under the DPA and applicable law are unaffected.
9.3 Confidential Information excludes information that is or becomes public without breach, was already known or independently developed by the receiving party, or is received from a third party without restriction. A party may disclose Confidential Information where required by law, court order, or governmental request, subject to DPA §13.1 where personal data is involved and, otherwise, to reasonable advance notice where lawful.
10. Term, suspension, and termination
10.1 Term. The Agreement begins when you first accept it and continues until all accounts under it are closed and any Order Form term has ended (the “Term”).
10.2 Termination by you. You may cancel subscription renewal as described in §7.2 without closing your account. You may request account closure through the available account controls or support. Closing an account does not waive fees owed under an agreed committed term. Early termination rights under the Agreement and mandatory law remain available.
10.3 Suspension. Cal.com may suspend your account or specific features immediately where reasonably necessary to (a) prevent or investigate a security threat or a breach of §4.3 or §5.4; (b) comply with law or a governmental request; or © prevent harm to the Services, other customers, or Bookers; and may suspend for non-payment of automatically billed plans only as stated in §7.4, and of invoiced amounts only as the applicable Order Form or master services agreement provides. Cal.com will give notice where reasonably practicable and legally permitted. Suspension will be limited to what is reasonably necessary, and access will be restored when the grounds for suspension no longer apply, unless the Agreement has been validly terminated.
10.4 Termination for cause. Either party may terminate the Agreement on written notice for a material breach that remains unremedied after a reasonable opportunity to remedy it. Immediate termination remains available for an irremediable breach or where applicable law permits termination without an opportunity to remedy. Cal.com’s suspension rights under §10.3 remain unaffected.
10.5 Termination for convenience by Cal.com. Subject to any committed term in an Order Form and mandatory law, Cal.com may terminate the Agreement without cause on reasonable prior written notice. Where the Agreement or applicable law requires it, Cal.com will refund prepaid, unused fees for the period after termination. Termination of the Agreement or closure of an account does not by itself delete Customer Data; export and deletion follow §5.6 and DPA §10, with the applicable periods determined under those provisions.
10.6 Effect of termination. On termination, your right to use the Services ends except for access required under §5.6, the DPA or mandatory law. Fees accrued to termination remain payable, and §5.6 applies to Customer Data. The following survive to the extent relevant to surviving rights and obligations: §1, §2, §5.1, §5.5, §5.6, §7 (for amounts owed), §8, §9, §10.6, §11.3, §12, §13, §14 and §16. Later updates to these Terms do not amend an already terminated Agreement merely by being published.
11. Warranties and disclaimers
11.1 Mutual. Each party warrants that it has the authority to enter into the Agreement.
11.2 Statutory rights. If you use the Services as a consumer, or where applicable law otherwise requires it, you have the rights regarding the conformity of the Services that such law provides, and §11.3 does not limit them.
11.3 Disclaimer. EXCEPT AS EXPRESSLY STATED IN THE AGREEMENT, THE SERVICES ARE PROVIDED “AS IS” AND CAL.COM DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI FEATURE OUTPUT WILL BE ACCURATE. FREE PLANS, TRIALS, AND BETA FEATURES ARE PROVIDED WITHOUT WARRANTY OF ANY KIND. THESE DISCLAIMERS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND DO NOT AFFECT WARRANTIES THAT CANNOT BE EXCLUDED.
12. Indemnification
12.1 By Customer. If you use the Services for business purposes, you will defend Cal.com and its affiliates against any third-party claim arising from Customer Data, your Bookers’ claims relating to your use of the Services, your breach of §4.3, §4.7, or §5.4, or your use of the Services in violation of law, and will pay damages and costs finally awarded or agreed in settlement. This obligation does not apply to the extent a claim results from Cal.com’s breach of the Agreement or unlawful conduct.
12.2 Procedure. The indemnified party will give prompt notice of the claim, reasonable cooperation, and sole control of the defence and settlement to the indemnifying party, except that no settlement may impose obligations on the indemnified party without its consent.
12.3 Indemnity by Cal.com. Cal.com indemnifies you only where an Order Form or other written agreement signed by both parties provides it.
13. Limitation of liability
13.1 Exclusion. TO THE FULLEST EXTENT PERMITTED BY LAW, CAL.COM WILL NOT BE LIABLE UNDER THE AGREEMENT FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, HOWEVER CAUSED, EVEN IF ADVISED OF THE POSSIBILITY. THIS SECTION DOES NOT REDUCE CAL.COM’S EXPRESS BACKUP OR RECOVERY OBLIGATIONS UNDER THE AGREEMENT OR ANY LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
13.2 Cap. TO THE FULLEST EXTENT PERMITTED BY LAW, CAL.COM’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO CAL.COM IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY AND (B) US$100.
13.3 Exceptions. Sections 13.1 and 13.2 do not exclude or limit liability where prohibited by applicable law, including liability for fraud, intentional misconduct, gross negligence, or death or personal injury to the extent that liability cannot lawfully be excluded or limited. Any indemnity expressly given by Cal.com is governed by the limitations agreed for that indemnity. These sections do not limit Customer’s payment or indemnification obligations. Liability under the DPA is governed by DPA §15. No provision of the Agreement may contradict or undermine the liability provisions of the applicable SCCs, UK Addendum or Swiss Amendments, including liability between the parties and liability to individuals.
13.4 Consumers. If you use the Services as a consumer, §§13.1 and 13.2 do not apply to you. Cal.com is liable to you as provided by the mandatory law of your country of residence, but is not liable for loss that was not reasonably foreseeable when the Agreement was made, or for loss relating to any business, trade or profession. Nothing in this §13 limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited under that law.
14. Governing law and disputes
14.1 Governing law. The Agreement, and any dispute or claim arising out of or in connection with it, is governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, to the extent applicable law permits that choice. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
14.2 Informal resolution. Either party may invite the other to discuss a dispute by written notice describing the dispute and the relief sought. Participation is voluntary and does not restrict either party’s right to bring proceedings, seek urgent relief or meet an applicable legal deadline.
14.3 Courts. Subject to §14.4, any dispute or claim arising out of or relating to the Agreement or the Services will be brought exclusively in the state or federal courts located in the State of Delaware, and each party consents to personal jurisdiction and venue there and waives any objection based on inconvenient forum. Either party may nonetheless seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property, Confidential Information, or the security of the Services, and may bring an individual claim in a small-claims court of competent jurisdiction. Nothing in this section requires arbitration, and the Agreement contains no agreement to arbitrate.
14.4 Consumers and mandatory forums. If you use the Services as a consumer, you benefit from any mandatory provisions of the law of your country or state of residence, and nothing in this Section 14 deprives you of the right to bring proceedings, or to be sued only, in the courts of your place of residence where that law so provides; where that law does not permit a choice of Delaware law or courts, it applies instead. Either party may exercise its rights before a data-protection or other regulatory authority. The SCCs, UK Addendum, and Swiss Amendments incorporated by the DPA keep their own governing law and forum as set out in DPA §12.4, and the BAA retains its own applicable governing-law and dispute-resolution provisions.
15. Changes to these Terms
15.1 Cal.com may update these Terms. Each version carries a version number and effective date, and prior versions remain available in the version history below.
15.2 If an update materially reduces your rights or Cal.com’s obligations, Cal.com will give you prior notice by email to your account owner or by in-product notice before it takes effect, and will use commercially reasonable efforts to give that notice early enough for you to review the update and, if you do not accept it, terminate under this section. You may terminate the Agreement before the effective date if you do not accept the update and, where the Agreement or applicable law requires it, Cal.com will refund prepaid, unused fees for the remaining period. Non-material updates take effect on publication where legally permitted. An update required by law is not automatically non-material. Any shorter notice period must be justified by the applicable legal requirement.
15.3 Continued use constitutes acceptance only where the update was properly notified and that method of acceptance is legally effective. Cal.com will obtain affirmative acceptance where required. Changes to an Order Form require both parties’ written agreement.
16. General
16.1 Notices. Contractual notices to Cal.com may be sent to legal@cal.com or delivered to Cal.com, Inc., 2261 Market Street #4382, San Francisco, CA 94114, United States, Attn: Legal. Contractual notices to you may be delivered to the account owner’s email address or through an in-product notice where legally sufficient. A notice is effective when received under applicable law. This section does not replace any mandatory requirements for service of legal proceedings. Operational notices, including subprocessor notices under the DPA, are given as described there.
16.2 Export and sanctions. You must not access or use the Services where doing so is prohibited by applicable export-control or sanctions laws, including for or on behalf of a person whose use is prohibited. Any reliance on an exemption or authorization must satisfy its applicable conditions. You will comply with US and other applicable export-control and sanctions laws in using the Services.
16.3 US government. The Services are commercial computer software and documentation. Government end users acquire only the rights set out in the Agreement, consistent with FAR 12.212 and DFARS 227.7202.
16.4 Assignment. You may not assign the Agreement without Cal.com’s written consent, except where applicable law prohibits that restriction. Cal.com may assign the Agreement to an affiliate or successor, subject to mandatory law. Where mandatory consumer law requires consent or a right to end the Agreement because the contracting provider changes, Cal.com will obtain that consent or provide that right. Any other assignment is void.
16.5 Independent contractors; third parties. The parties are independent contractors. Except for indemnified parties under §12 and rights under applicable international data-transfer clauses or mandatory law, there are no third-party beneficiaries. This exclusion does not remove any mandatory rights of Bookers, Authorized Users or other individuals.
16.6 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, other than payment obligations. This section does not excuse obligations that applicable law does not permit to be excused, including applicable mandatory data-protection and security duties.
16.7 Waiver and severability. Failure to enforce a provision is not a waiver. If a provision is held unenforceable, it will be eliminated or, where legally permitted, limited to the minimum extent necessary. The remaining provisions continue in effect to the extent permitted by applicable law.
16.8 Entire agreement. The Agreement is the entire agreement between the parties about the Services it governs. It does not supersede an applicable separate master services agreement, Executed DPA or BAA except as expressly agreed in accordance with that document’s terms. Terms in your purchase order or vendor forms do not amend the Agreement unless expressly accepted by Cal.com. Sections 2.1 and 2.5 govern conflicts and the treatment of separate agreements.
16.9 Language and interpretation. These Terms are written in English; translations are for convenience except where mandatory law requires otherwise. “Including” means “including without limitation.” Headings do not affect interpretation.
16.10 Contact. Questions about these Terms: legal@cal.com; privacy and data requests: privacy@cal.com. Support: support@cal.com or cal.com/help. Account-access reports: support@cal.com. Security vulnerability reports: the reporting route published at cal.com/security.
